MAXWELL PLACE — FOUNDING MEMBER PRIORITY LIST DEPOSIT TERMS

Refundable Priority List Deposit. The $1.00 deposit is fully refundable at any time prior to your execution of a Membership Agreement, upon request and at no cost to you. It creates no obligation to join and does not constitute a contract for health club services. If you choose to join, the $1.00 deposit will be credited toward your first month's dues upon execution of a Membership Agreement at the Founding Member rate during the founding member window. If you do not sign a Membership Agreement before the founding member window closes, your deposit will be refunded in full.

What This Deposit Gives You. By placing this deposit you secure a priority position on the Founding Member list and first access to Founding Member pricing during the founding member window. Your 24-month rate lock becomes effective upon your execution of a Membership Agreement at the Founding Member rate — it does not arise from this deposit form. Until you sign a Membership Agreement, no specific rate, program, or amenity is guaranteed, and this deposit creates no obligation to join. City Fitness does not guarantee membership availability at any particular rate beyond what is set forth in a fully executed Membership Agreement.

Program Modification & Cancellation. City Fitness reserves the right to modify or discontinue the Founding Member presale program at any time. If the program is discontinued before you have executed a Membership Agreement, your $1.00 deposit will be refunded in full. If Maxwell Place has not opened by the date set forth in your Membership Agreement, you will have the right to cancel and receive a full refund of any amounts paid, in accordance with the New Jersey Health Club Services Act.

New Jersey Health Club Services Act Notice. This form is not a contract for health club services. Your eventual Membership Agreement will comply with the New Jersey Health Club Services Act (N.J.S.A. 56:8-39 et seq.), including all required disclosures, cancellation rights, and consumer protections.

Governing Law. This priority list deposit form and your placement on the Founding Member priority list are governed by the laws of the State of New Jersey, including without limitation the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) and the New Jersey Health Club Services Act (N.J.S.A. 56:8-39 et seq.). Nothing in this form limits any rights or remedies available to you under applicable New Jersey law.
